Requirements

• All Hong Kong limited companies must have a registered office.  Registered agent is not required.
• Minimum number of shareholders and directors is one each. These can be non-resident.  A sole director may not be the secretary of that company.
• Company secretary must be a Hong Kong resident. Corporate company secreatary is accepted.
• An annual return must be filed. Penalties will be levied for late filing.
• Annual audit are required for limited companies. But annual accounts are not required to be filed.
• There are no minimum capital requirements.
• A business registration certificate is required.
• Ready-made companies are available. Time taken to incorporate a new limited company is approximately two weeks.
• Only profits which have a source in Hong Kong are subject to tax in Hong Kong.
